Premise


Resman S.r.l. carries out consultancy, temporary management and corporate restructuring activities on the national and international market, with highly impacting interventions on the territory and with a profound dialogue with the social context in which the customer operates. Resman’s goal is to satisfy its customers and shareholders through the creation of value, favoring and implementing the growth of the internal resources employed on the project. Quality of work, professionalism, commitment and innovation are the cornerstones that guide Resman’s work, in the awareness of the delicacy of the role played and aware of the fact that decisions have not only an economic and financial impact, but also a social and human one.

This document expresses the principles that guide the operations of our company, the commitments and responsibilities assumed in the context of relations with our customers, our suppliers, our collaborators and our employees; these values ​​are shared by all those who work in the name and on behalf of Resman, regardless of the nature of the relationship that binds them to our company.

This code of ethics is valid both in Italy and abroad and is shared by all levels of the Resman structure

Purpose

The Board of Directors of Resman S.r.l. has adopted this Code of Ethics, which reflects the company’s commitment to:

  • provide guidelines for staff to help recognize and address ethical issues;
  • contribute to maintaining a culture of integrity, honesty and responsibility within the company;
  • define the values ​​and principles of conduct relevant to the smooth functioning of the organization and the full satisfaction of the Customer and the Resman staff;

It contains the set of rights, duties and responsibilities of the interested parties internal and external to the Company, beyond and independently of the provisions of the law.

Recipients

The rules of the Code of Ethics apply without exception to corporate bodies, management, employees, external collaborators, commercial partners, suppliers and all those who operate in the name and / or on behalf and / or under the control of Resman and have a relationship with Resman. The management and internal staff are at the forefront in the dissemination, implementation and control of compliance with these values, so that they do not remain only on paper but are visible and concrete in everyday activity, and in relations with collaborators internal and towards end customers: this code of ethics and compliance with its provisions represent an integral part of the organization model of the company and the employment relationship of each employee and collaborator.

Resman undertakes to ensure maximum visibility of this document, making its acknowledgment and acceptance a fundamental and non-renounceable element of the process of hiring its employees and selecting its suppliers and collaborators. Resman also endeavors to make this document easily accessible to the end customer, to the institutions and to the various counterparties with which it interfaces in carrying out its activities. This Code of Ethics, which is available and can be consulted on the company’s website www.resman.it, will be periodically updated for greater compliance with current legislation and the changed guidelines of the corporate bodies.

Ethical values

Compliance with current legislation: Resman undertakes to manage its activities in full compliance with current legislation on prevention and safety at work and strives to ensure a healthy and safe working environment, with the adoption of all necessary measures; while operating with high standards, Resman is also committed to promoting a process of continuous growth and improvement of the working conditions of its collaborators.

Relevance to moral conduct: Compliance with the law must be accompanied, in any context and circumstance, by compliance with ethical standards and moral integrity; the conduct of business must always be based on the principles of correctness, transparency, integrity and respect, both formally and substantially, with current legislation and the guidelines set out in this code.

Correctness: Recipients are required to comply with the ethical and professional rules, with particular reference to the duties of diligence and expertise, applicable to transactions carried out on behalf of the Company. The recipients are also required to comply with company regulations, which express in detail the methods of pursuing the objectives in compliance with the ethical principles and behaviors adopted.

Transparency: Recipients are required to respect the duty of transparency understood as clarity, completeness and relevance of information, avoiding misleading situations in transactions carried out on behalf of the Company.

Safety: Resman guarantees compliance with the legislation provided for the protection of safety in the workplace, implementing risk prevention programs, investing in infrastructures, adapting the equipment and equipment used and investing in the correct training of personnel in order to spread and promote the principles and measures adopted. By embracing this modus operandi, Resman wishes to confirm also in the future the positive trend that so far has seen it free from accidents at work.

Health: Resman undertakes to protect the health of its employees and collaborators through compliance with workplace hygiene regulations; in compliance with the law against passive smoking, Resman has also imposed a ban on smoking in all workplaces and bathrooms; the provision of the service or the mere presence in the workplace under the effect of alcoholic substances, drugs or similar substances is not permitted.

Social responsibility: Resman considers it a priority to pay attention to the effects that its intervention produces on the community and on the social fabric of the territory, aware of the influence that its activities may have on the well-being and conditions of the recipients and therefore of the community; in this regard, Resman intends to achieve its objective by minimizing the effects for the community, by making its interests converge when possible with those of the people involved in its projects, favoring development solutions over those of sacrifice and contraction.

Corruption: Resman employees may not, directly or indirectly, offer or receive gifts, presents, money, payments, giveaways for various reasons, to remunerate or grant any preferential treatment. The gifts offered by Resman to its Customers must be framed as a mere commercial practice and have the sole purpose of promoting the corporate image and maintaining cordial relations.

Conflict of interest: Resman represents an active reality in the state territory and strongly interconnected with its economic and social fabric: for this reason it refrains from taking on any mandate, carrying out activities and making decisions in situations of conflict of interest; in the execution of the mandate, Resman professionals are required to pursue only the purpose and corporate interests; even in the case of work performed by a Resman professional or collaborator in an independent manner with respect to the same company, this project must be previously endorsed by its manager. Otherwise the employee or collaborator will be removed from the project.

Privacy protection: All information and sensitive data relating to employees, collaborators, customers, suppliers, candidates, etc. they are treated in compliance with current legislation and the corporate document on privacy; Resman adopts appropriate security measures to avoid loss, destruction, access by unauthorized personnel and unauthorized processing with reference to data relating to personnel, collaborators, customers and suppliers; any disclosure to the outside or use for purposes other than those specified in the corporate privacy document of any of this information would expose the person in charge, in addition to disciplinary actions for the contravention of the Resman ethical and moral code, to legal actions.

Discrimination: Resman safeguards its collaborators from acts of psychological violence, and opposes any discriminatory or harmful attitude towards the person, his opinions and preferences, based on sex, race, religion or political opinions.

Environmental protection: Due to the nature of the activities carried out, the environmental impact of Resman projects is not significant; however, the company is committed to raising awareness among its stakeholders on the issue of environmental protection through the promotion of more eco-sustainable technologies and industrial best practices with a lower impact linked to the choice of raw materials, energy sources, packaging and distribution methods . Corporate climate: Resman promotes an internal climate in which employees interact in full mutual respect; behaviors are not tolerated, both directed towards collaborators and employees, and towards the structure of the Customer / supplier, which may fall within the definition of bullying, sexual harassment, intimidating attitudes.

Sanctions: In the face of ascertained and evident violations of this Code of Ethics, Resman will intervene with the appropriate disciplinary actions (which could also be of a pecuniary nature) proportional to the seriousness of the transgression detected; any reports of illegal or immoral behavior by an employee will be kept anonymous and will not expose the reporter to any kind of retaliation.

Resman staff

The resources that work in Resman are its greatest asset: it is the quality of their work that guarantees the success of the project and therefore of the customer, it is the reputation they enjoy that determines the image enjoyed by the company, it is the their observance of the rules of the Code of Ethics which determines their concrete implementation. Resman protects and promotes the value and development of its human resources, which are considered a critical success factor for the entire company, in order to favor their full professional fulfillment on the basis of merit criteria.

Training: Resman invests heavily in the training of its human resources, in order to promote its growth through that of its collaborators from all points of view. The employee is provided with: basic skills for improving individual productivity, specialist skills for growth on the role and information on the rules of the civil code and this code of ethics. The employee or collaborator, as already pointed out, is obliged to know and apply the latter in the performance of their work activities. Each Resman employee must aim not only to set an example of compliance with the provisions of the code of ethics in the eyes of their collaborators, as well as all the stakeholders of the company, but also to ensure that the entire structure adapts to the dictates that it imposes, promptly informing his superior in the event of evidence of the violation of the rules and adopting the appropriate measures, primarily preventive, to ensure compliance.

Confidentiality: The nature of the work carried out involves an important component of confidentiality and maturity in the management of sensitive data, and for this reason the Resman professional is kept to the utmost confidentiality about the information acquired by virtue of his role in the project, even at the end of the same; all documents and data acquired by the professional in the context of his work are the property of Resman and as such must be suitably filed, stored and preserved, guaranteeing the impossibility of disclosure to unauthorized third parties: Resman will punish any contravention of this principle of confidentiality and any breach of trust placed by the Client with the minimum disciplinary sanction consisting in removal from the role and from the project.

Similarly, Resman undertakes to guarantee the maximum confidentiality regarding the common, sensitive and judicial data of its employees and collaborators, avoiding any improper use that goes beyond their treatment aimed at conducting a standard employment relationship.

Commitment: Resman stands out on the market for its determination in achieving its objectives and for its dedication to the cause it is advocating: for these reasons, the activity is always strongly based on teamwork and the sharing of objectives, a methodology of proven effectiveness in favor the achievement of the target; the team is required to put itself at the complete disposal of the final customer, becoming passionate about the project and devoting itself to it completely, addressing problems and critical issues and forgetting to be “only consultants”.

Internal procedures: Resman does not present itself on the market as a generalist consultancy firm, but on the contrary it is composed of different professionals each with a specific background and set of skills, appropriately selected to create a team capable of successfully dealing with companies of any sector and size and with any problem; despite the nature of an “aggregation of professionals”, the Resman team scrupulously adheres, in addition to this code of conduct, to a series of procedures and policies that explicitly aim to guarantee the same style, the same winning modus operandi and same high quality standard in all projects, regardless of who will be called to manage it.

Choice of collaborators: To ensure an effective and winning team, Resman only selects personnel who, in addition to having the appropriate technical skills to cover certain roles, have a code of ethics consistent with the values ​​in which the company believes and embrace the principles and provisions of this document.

Roles: In the management of hierarchical relationships between collaborators and employees, Resman requires that authority be exercised with fairness and fairness, prohibiting any behavior that may be deemed harmful to the dignity and autonomy of the employee.

Incentive system: All the activities carried out by Resman are aimed at guaranteeing the highest quality of the services provided and the achievement of the defined targets: for this purpose, each Resman professional is evaluated and rewarded on the basis of the degree of achievement of the objectives defined for the project, because the success of our customers also becomes ours.

Benefits: In order to ensure the maximum productivity of its professionals and collaborators, Resman provides them with a series of corporate assets, distinguished by role and seniority, which must be used responsibly and carefully guarded throughout the duration of the employment responsible behavior and following the procedures provided for their use.

Discrimination: Resman refuses and warns its structure from implementing any discriminatory practice against its employees, evaluating the resource exclusively on the basis of acquired merit, capacity and demonstrated availability; a similar policy is followed during the recruitment and establishment of an employment relationship as well as during promotions, access to roles, receipt of bonuses, incentives or benefits, inclusion in project teams, pursuing a policy based exclusively on merit. Resman guarantees all its employees and collaborators the same opportunities, the same fair treatment, the same trustworthy and loyal relationship, the same regular employment contract.

Final customers

Professionalism, quality of service, competence, availability, respect, fairness and confidentiality represent the guiding principles and style of behavior to be followed in relations with customers.

Service quality: Resman pursues the goal of always and fully satisfying the customer’s expectations, achieving all the goals set in the acquisition of the mandate; in doing this, Resman professionals do not have to address the opportunities, risks and problems of the Client as consultants, with an external look, but rather enter the project with the optics, passion, dedication of the entrepreneur and of the CEO.

Aware of the delicacy of the work and the importance of the decisions that will help to determine, each activity must always be based on the utmost care and scrupulousness, producing documents of excellent quality and in line with the best market standards; the data disclosed to the outside of the company must therefore always be processed and analyzed, to ensure its accuracy and truthfulness; similarly, all communications addressed to third parties must always respect the principles of truthfulness and completeness.

The strong bond with the Customer, which is maintained even at the end of the collaboration relationship, must be strengthened day after day by the quality of the service offered, by the reliability of the professionals working on the construction site, by the perception of concrete and operational support whose effects are quantifiable and measurable

Choice of the team: A useful tool to guarantee the excellence of the service provided is the choice to operate on the project with the widest possible range of skills, or with a team made up of those who are, among its professionals, a more consolidated experience in the Customer’s area of ​​expertise or in the specific case history of the project in question; in parallel to this measure, in order to always and in any case guarantee its standard and its style, Resman works on the project with a team that always includes at least one senior manager with proven experience or a partner of the company.

Cost containment: Resman pursues a sound policy of reducing unnecessary costs and using the criterion of economy in the conduct of business life, in order to avoid waste beyond the particular moment of negative economic situation; this policy is pursued both internally and towards the end customer, through the containment of the expenses to this tipper, if they are avoidable, and through the choice of the cheapest alternative for meals and accommodation in the trips of the team dedicated to the project. Cost containment does not mean austerity, because Resman bears important burdens for activities in which quality plays an important role and for those that have an investment character, but it means believing in the development of one’s own as well as of others’ realities also through the control of spending. as well as in the growth of customers through the ability to have a limited impact on their financial statements: one of the indicators of the effectiveness and efficiency of the intervention is represented by the “Δ” between benefits and cost of consulting.

The choice of offering Junior resources free of charge for rehabilitation projects, charging exclusively professionals with a certain seniority, to meet the Client in a moment of particular economic or financial tension, goes perfectly with this policy.

Truthful communication: In the first contact with the counterpart, negotiation for the acquisition of the mandate, maintenance of normal daily project relations, communication campaigns or public statements, Resman undertakes to always guarantee compliance with the principles of clarity, truthfulness, correctness, completeness and simplicity: avoiding up-selling practices of one’s own professionals, avoiding the use of offers and framework contracts that are deliberately interpretable or incomplete, operating in a context of loyalty and mutual trust, providing precise indications on prices and methods of supply service, to allow an informed choice based on certain data by the Customer. Communication to the mass media is reserved exclusively to the Management and to other company functions possibly delegated for the purpose.

Respect for legality: The strong result orientation and the maximum availability granted to the Customer must always be compliant and consistent with the regulations in force and in general with the principles of legality, honesty, fairness and transparency that guide our work; in this regard Resman refuses to provide its consultancy and technical support activities for the implementation of interventions with illicit, discriminatory or immoral purposes.

Suppliers and collaborators

Without prejudice to the general principles of transparency, loyalty, integrity, confidentiality, diligence, professionalism and objectivity of judgment, the choice of suppliers for the purchase of goods and of the professionals who in various capacities collaborate with Resman is based on the criteria of economy and competitiveness. on the one hand, quality and competence of the offer on the other: Resman grants equal opportunities to each supplier, supports the principles of fair competition and does not allow pressures of various kinds aimed at favoring one supplier rather than another; Resman does not allow its employees and collaborators to accept money or prizes in kind aimed at orienting towards a specific supplier, either for themselves or for their customers.

Resman undertakes to guarantee with its suppliers and external collaborators the maintenance of commercial relationships based on the principles of loyalty and correctness, guaranteeing compliance with the contractual conditions specified in the agreement, without exploiting positions of power with the counterparty to obtain favorable conditions and without taking advantage of any contractual gaps or confidential information that may be available. The treatment reserved to external professionals who in various ways collaborate with the company must be comparable to that which regulates the employment relationship with its employees, both as regards the selection criteria and as regards the implementation of internal procedures, both as regards the code of conduct and compliance with the ethical principles set out in this document.

Resman also undertakes to make this Code of Ethics known to its suppliers and collaborators and to prescribe their adherence and compliance; in the event of evidence of behavior not in line with the principles of this document, Resman reserves the right to proceed with the termination of the contract and / or legal action for compensation for damages.

Competitors

Resman refrains from implementing any collusive practice and strictly adheres to the current legislation on competition on the market, refusing any type of behavior that may be perceived as unfair, deceptive, defamatory; Resman also undertakes to ensure maximum compliance with copyright legislation, refraining from the use of trademarks, logos, patents, designs, models and intellectual property protected by copyright, even if only in part.

Institutions and society

Resman upholds the ethical values ​​presented in this code and ensures compliance, in the conduct of its business, with all current regulations regarding corporate crimes; the company undertakes to prepare the financial statements in compliance with the principles of truthfulness and correctness as expressed by the civil code and international accounting standards, as well as to provide true and correct information about its economic, equity and financial situation in all official communications directed to the public and society, without any omissions; all this not only to the extent sufficient to ensure compliance with the terms and conditions of the law, but to promote greater transparency towards all corporate stakeholders and towards the market in general, to protect all categories that have a credit towards companies (be they employees, collaborators, suppliers or state bodies), to uphold the principles of fair competition.

Relations with institutions must be based on the ethical values ​​of loyalty and correctness, refusing any donation of money or goods in kind for the performance of activities that go beyond those typical of the specific office with which one is talking or aimed at obtaining treatment of favor. Resman explicitly rejects any form of corruption, extortion, embezzlement, fraud and embezzlement. Relations with the Public Administration and with the Public Institutions are held by the Company Representatives or by the Managers authorized to do so or by the persons delegated by them.

Resman condemns any conduct aimed at obtaining any type of contribution, loan, soft loan or other provision of the same type by the State, European bodies or other Public Administration, thanks to altered or falsified declarations and / or documents or through omitted information , also refusing the use of such funds for purposes other than those for which they were granted.

Resman professionals and collaborators undertake to actively collaborate with the authorities, the police, the public administration and anyone who carries out a public service in general.

Resman does not make direct or indirect contributions to political parties, movements, political and trade union organizations, their representatives and candidates, except those due by applicable laws and regulations.
